The choice starts with the activity
Incorporating a company is one stage of a broader business project. Before starting, the market, customer and supplier relationships, operating premises, people involved and required resources must be defined. The Firm assists entrepreneurs and investors in comparing available options, ensuring that the choice does not depend solely on the initial cost or an oversimplified account of taxation.
Corporate forms and relations between shareholders
Bulgarian law provides for the limited liability company OOD, including its single-member form EOOD, and the joint-stock company AD, including its single-member form EAD. Similarities with Italian companies provide a useful starting point, but do not replace an examination of local rules. Capital, contributions, management, representation and transfers of ownership interests must be structured consistently with the project and the legislation in force at the time of the transaction.
Documents and effective management
The articles and shareholders’ agreements must address decision-making powers, business financing, the admission of new participants and the management of disagreements. Registration is followed by the steps needed to operate: banking relationships, accounting arrangements, tax checks, contracts and sector authorisations where required. Timing depends on the completeness of the documents and the checks by the parties involved; a single deadline cannot be guaranteed for every company.
Relations with Italy
Registering a company in Bulgaria does not make the place where decisions are taken and activities performed irrelevant. Links with Italy require an examination of tax residence, permanent establishment and transactions between related parties. Bulgaria has used the euro since 1 January 2026: earlier amounts in lev must be read in context and updated when used for new transactions. Advice therefore connects the corporate structure to the actual organisation, involving the relevant tax professionals.
