Assistance throughout the life of the business

The Firm supports Italian and Bulgarian companies and entrepreneurs in incorporating, organising and developing their businesses. The engagement may concern a new venture, an investment in an existing company or the reorganisation of relations between shareholders. Before choosing the legal structure, the industrial or commercial project, financing arrangements, the directors' role and the place where the business will actually operate are examined.

Articles of association, governance and transactions

The advice covers drafting and reviewing corporate documents, shareholders’ agreements, investment agreements and contracts relating to management. In acquisitions, conversions and other extraordinary transactions, the company’s position must be reconstructed and relevant obligations, liabilities and authorisations identified. Clear rules governing powers, decisions and exit arrangements reduce uncertainty when participants’ interests diverge.

Contracts and day-to-day operations

Assistance extends to commercial relationships, contracts with customers and suppliers, terms of sale and employment issues connected with the business. Advice also covers transport, tourism, insurance and consumer relationships, taking account of the specific rules of each sector. Tax, administrative and other specialist matters are coordinated with the appointed professionals.

Assessing critical issues

Shareholder disputes, breaches of contract, financial difficulties and liquidation require prompt examination of documents and deadlines. The Firm assesses available negotiated and judicial steps, including where debts must be recovered in both countries. Accounting compliance remains the responsibility of the competent adviser. Projects financed with European resources are assessed against the programme and call actually applicable: the former 2014–2020 programming period does not constitute a current funding offer.
