Starting a business in another country requires practical knowledge of the rules and conditions in which it will operate. The Firm assists Italian and Bulgarian entrepreneurs, companies and investors in examining legal alternatives, preparing contractual relationships and managing issues arising from international expansion. The first step is to understand the project, available resources and the roles of those involved.
Preventing problems
The analysis concerns the identity and authority of counterparties, the obligations undertaken, any necessary authorisations and the consequences of non-performance. In cross-border contracts, applicable law, jurisdiction, payment arrangements, delivery and guarantees must be coordinated. These choices affect the ability to protect the business when difficulties arise in the relationship. Documents are examined before signature so that risks and responsibilities can be identified.
Assistance at the various stages
Our work may include negotiating and drafting contracts, start-up support, relations between shareholders, management of commercial disputes and assistance in and out of court. Negotiated solutions are assessed alongside the available legal remedies, taking account of urgency and the client's actual interests. Accounting, operational tax and technical matters are addressed with the relevant professionals under clearly defined engagements and responsibilities.
Documents and communication
For an initial assessment, it is helpful to provide a description of the activity, details of the counterparties and any contracts or proposals already received. Any deadlines, payment demands or formal communications should be flagged immediately, and the relevant evidence retained. Where a matter requires Italian–Bulgarian translation or interpreting, the Firm can coordinate the necessary language support, agreeing its scope and arrangements. Timescales, work and fees are defined according to the work actually required.
